Marybeth Riordan is of Counsel to Satterlee Stephens LLP, practicing primarily in the areas of general corporate, business and securities law, with emphasis on transactional and regulatory matters.
Ms. Riordan’s general corporate experience includes the formation and organization of various types of business entities, including corporations, limited partnerships and limited liability companies, as well as the negotiating and drafting of numerous types of contracts and agreements, including confidentiality, non-disclosure and non-compete agreements, consulting and employment agreements, joint venture agreements, indemnification agreements, license agreements, limited liability company agreements, partnership agreements, promotion agreements, stock and other option agreements, stockholders’ and voting trust agreements.
In the securities law area, Ms. Riordan has been involved in public offerings and private placements of debt and equity securities, in addition to advising corporate clients and officers, directors and principal stockholders of public companies as to disclosure obligations under the securities laws, with particular emphasis on obligations under the securities laws, with particular emphasis on compliance with Sections 13 and 16 of the Securities Exchange Act of 1934 and Rule 144 promulgated under the Securities Act of 1933.
Ms. Riordan has experience in a wide variety of transactional matters, including mergers and other business combinations, stock and asset acquisitions and dispositions, financings, workouts, debt restructurings and other corporate reorganizations, and joint ventures.
Ms. Riordan’s regulatory experience, in addition to securities law compliance, includes documentation of vessels with the United States Coast Guard, filings under the Hart-Scott Rodino Antitrust Improvements Act, and novation of government contracts.
Ms. Riordan is a member of the New York State Bar Association, admitted to practice in New York (1987).
Ms. Riordan earned her undergraduate degree (B.A., 1982) from Indiana State University and her law degree (J.D., 1986) from St. John’s University School of Law.
